Sales Agreement
This Sales Agreement ("Agreement") is entered into by and between the seller and the buyer on marketplace.miningwatchdog.com. In this Agreement, both the seller and buyer will be referred to as "party" and collectively as the "parties."
Sales of Goods
The seller agrees to sell crypto hardware and services, while the buyer agrees to purchase items based on the product's description, quantity, and Price per Unit.
Purchase Price
The Buyer will pay the seller for the Crypto goods and services and for the obligations specified in the agreement. Buyers must pay in full the purchase price unless otherwise stated. In addition, the buyer shall hold the responsibility for taxes incurred in connection with the purchase of crypto goods and services in this agreement.
Payment
The buyer will initiate payment through the payment system using the balance available in the buyer account. The buyer account should have sufficient balance for the full payment upon initiating the purchase. Upon confirmation of the payment by the buyer, the escrow payment system will release the funds to the seller once the product has been shipped to the buyer.
Delivery
The seller shall ship the goods to the buyer immediately after purchase following the shipping address, either using UPS or other available shipping services listed on the seller’s account. The buyer will pay for the shipping cost. Thus, the shipping cost shall constitute an acceptance of delivery of goods once the buyer receives the goods at the specified shipping address.
Risk of Loss
Title to any risk of loss of the goods shall pass to the buyer once the shipment of goods is seen as per the sales agreement and shipping address.
Warranties
The buyer will acknowledge they have not relied on, and the seller has not made, any representation on the product's warranty and in respect, the quality of crypto goods and services. The parties should confirm whether the buyer is purchasing on an "as is" basis. The seller expressly disclaims all warranties, either by expressing or implying.
Security of Interest
Buyers hereby grant sellers a security interest in the goods until the buyer has paid the seller in full amount. The buyer shall provide the seller with any document needed to perfect the security interest in the goods that the seller reasonably requests.
Seller Representations and Warranty
The seller warrants that the Crypto goods and services are free, and at the time of delivery, will be free, from any security interest. In addition, the seller must warrant that there are no outstanding titles or claims of title that are hostile to the seller's rights in the Crypto goods and services.
Force Majeure
The seller shall not be held responsible for any claims or damages resulting from the delays in performance or non-performance due to any unforeseen circumstances or causes that are beyond the seller's reasonable control.
Product Quality Assurance
Sellers are responsible for ensuring that all products listed on the platform meet industry standards for quality and functionality. Any defects or discrepancies should be promptly addressed and resolved to the satisfaction of the buyer.
Product Liability
Sellers are solely liable for any damages or injuries caused by their products. By listing products on the platform, sellers agree to indemnify and hold harmless Miningwatchdog from any claims related to product liability.
Seller Verification
Miningwatchdog reserves the right to verify the identity and legitimacy of sellers, including conducting background checks and requesting additional documentation as necessary. Sellers agree to cooperate fully with any verification processes.
Prohibited Items
Sellers must not list prohibited items/products including but not limited to counterfeit goods, illegal substances, and products that infringe upon intellectual property rights. Any violation of this policy will result in the immediate removal of the listing and suspension of the seller's account.
Listing Requirements
The seller must include the correct price, shop address, the refund and return period and all the available shipping methods he can use to ship the items to the buyer.
Sellers may engage in marketing and promotional activities to attract buyers to their listings, provided that such activities comply with Miningwatchdog Marketplace's policies and do not misrepresent the products or deceive buyers.
Feedback and Reviews
Buyers are encouraged to provide honest feedback and reviews of their transactions with sellers. However, sellers have the right to dispute any unfair or inaccurate feedback through the platform's dispute resolution process.
Communication Guidelines
Sellers agree to communicate with buyers in a professional and timely manner, responding promptly to inquiries and providing updates on the status of orders. Any harassment or abusive behavior towards buyers will not be tolerated and may result in account suspension.
Compliance with Laws
Sellers must comply with all applicable laws and regulations, including those related to consumer protection, taxation, and export control. Any violation of legal requirements may result in the termination of the seller's account and legal action.
Insurance and Liability Coverage
Sellers are encouraged to obtain appropriate insurance coverage to protect against potential losses or liabilities arising from their business activities on the platform. Miningwatchdog does not provide insurance coverage for sellers.
Feedback and Updates
Miningwatchdog Marketplace reserves the right to periodically review and update the seller terms and conditions, with notification provided to sellers of any changes. Sellers are responsible for regularly reviewing the terms and conditions and ensuring compliance with the latest version.
Confidentiality
Both parties agree to maintain the confidentiality of any proprietary information shared during the course of their business relationship. This includes but is not limited to customer data, trade secrets, and financial information.
Non-Compete Clause
Sellers agree not to engage in direct competition with Miningwatchdog Marketplace by operating a similar platform or selling similar products outside of the platform without prior written consent.
Termination and Transition
Miningwatchdog Marketplace reserves the unilateral right to deactivate or terminate a seller account without prior notice. Such actions may be undertaken in response to instances of non-compliance with regulations, community guidelines, policies, and conditions outlined by Miningwatchdog Marketplace.
In the event of account termination or closure, sellers agree to cooperate with Miningwatchdog Marketplace to facilitate the transfer of any outstanding orders, funds, or obligations to ensure a smooth transition for affected buyers.
Survival of Terms
Upon termination of the agreement, certain provisions, including but not limited to those related to liability, indemnification, and dispute resolution, shall survive and remain in effect.
